Jacksonville, Fla. -- (July 11, 2013) -- Fidelity National Financial, Inc. (NYSE:FNF), a leading provider of title insurance, mortgage services and diversified services, today announced the completion of the amendment and extension of its existing $800 million senior unsecured revolving credit facility ("credit facility") and the closing of a new $1.1 billion term loan credit facility ("term loan"). The amendment and extension of the credit facility and the new term loan are both related to FNF's previous announcement concerning the agreement to acquire Lender Processing Services, Inc. ("LPS").
The maturity date of the credit facility has been extended to July 15, 2018, and pricing remains constant at an applicable margin of between 132.5 basis points to 160 basis points over LIBOR. At the current Moody's and Standard & Poor's senior debt ratings of Baa3/BBB-, respectively, the applicable all-in pricing is LIBOR + 175 basis points. Financial covenants remain essentially the same, except that the total debt to total capitalization ratio limit of 35% will increase to 37.5% for a period of one year commencing on the closing of the LPS acquisition and the net worth test was reset.
The term loan has a maturity date of five years from the funding date, which will be determined by the actual closing date of the acquisition of LPS. There will be mandatory quarterly principal repayments of the term loan, with the first such payment to be made on the last day of the fifth full fiscal quarter after the funding date, equal to 0% in the first year after the funding date, 10% in the second year, 15% in the third year, 20% in the fourth year and 20% in the fifth year. The term loan pricing and financial covenants effectively mirror those of the credit facility.
Merrill Lynch, Pierce, Fenner & Smith Incorporated, J.P. Morgan Securities LLC, U.S. Bank National Association and Wells Fargo Securities, LLC acted as joint lead arrangers and joint book managers of the credit facility.
